2. PURPOSE

These Terms and Conditions of Use (hereinafter "Terms") aim to define the terms and conditions of use of the Pivotalchat.ai Service, an AI-powered conversational chat platform (SaaS), as well as the rights and obligations of the parties in this context.

Use of the Service implies full acceptance of these Terms.

3. SERVICE DESCRIPTION

Pivotalchat.ai is a SaaS conversational chat application powered by artificial intelligence allowing users to:

Create and manage conversations with AI assistants
Access multiple AI models (GPT, Claude, Mistral, Gemini)
Preserve their conversation history
Customize their interactions

The Service relies on the Dust.tt technology platform as a subcontractor for the provision of artificial intelligence functionalities.

4. PREREQUISITE: MANDATORY DUST.TT ACCOUNT

4.1 Dust.tt account requirement

The use of Pivotalchat.ai absolutely requires the prior creation of an account on the Dust.tt platform.

Before using Pivotalchat.ai, you must:

Create an account on dust.tt
Accept Dust.tt's terms of use
Link your Dust.tt account to your Pivotalchat.ai account

4.2 Relationship with Dust.tt

Dust.tt acts as a subcontractor for Kimind for data processing. Conversational data transits through Kimind's servers before being processed by Dust.tt.

4.3 Liability related to Dust.tt

You acknowledge and accept that:

You are subject to Dust.tt's terms of use in addition to these Terms
Kimind cannot be held responsible for malfunctions, interruptions or limitations of the Dust.tt service
Any suspension or termination of your Dust.tt account will make it impossible to use Pivotalchat.ai
Dust.tt's privacy policy (available at dust.tt/home/platform-privacy) applies to processing performed by Dust.tt

5. ACCESS TO THE SERVICE

5.1 Registration

Access to the Service requires:

The creation of a Dust.tt account (mandatory)
The creation of a user account on Pivotalchat.ai
The linking of both accounts

The user undertakes to:

Provide accurate and up-to-date information
Maintain the confidentiality of their credentials for both platforms
Immediately inform Kimind of any unauthorized use of their account

5.2 Legal capacity

The Service is accessible to any natural person of legal age or legal entity with full legal capacity. Minors must obtain authorization from their legal representatives.

5.3 Technical requirements

The user declares that they have the necessary equipment and connections to access the Service.

6. OFFERS AND PRICING

6.1 Free offer

A free version of the Service is available with limited features and usage volume.

6.2 Paid offers

Monthly subscription: €4.50 excl. VAT/month
Annual subscription: €45.00 excl. VAT/year

Prices are indicated excluding taxes. Applicable VAT will be added to the invoiced amount.

6.3 Payment terms

Payments are made by credit card or any other method offered on the Platform
Subscriptions are automatically renewable
The user can cancel their subscription at any time from their account, with cancellation taking effect at the end of the current period
Payment for the Pivotalchat.ai subscription is separate and independent from any Dust.tt subscription

6.4 Price changes

Kimind reserves the right to modify its prices at any time. New prices will be communicated to the user at least 30 days before they take effect. The user may terminate their subscription if the new prices are not suitable.

7. REFUND POLICY

In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal does not apply to services fully performed before the end of the withdrawal period and whose performance began with the consumer's express prior agreement.

No refund will be made for current subscriptions, except in cases of mandatory legal obligation or major Service malfunction attributable to Kimind.

8. USER OBLIGATIONS

The user undertakes to:

Use the Service in accordance with its intended purpose and these Terms
Comply with Dust.tt's terms of use
Maintain their Dust.tt account active and in good standing
Not infringe the intellectual property rights of Kimind or Dust.tt
Not introduce viruses, malware or any malicious code
Not attempt unauthorized access to Kimind or Dust.tt systems
Not use the Service for illegal, fraudulent or immoral purposes
Not collect or store personal data of third parties without their consent
Comply with applicable legislation regarding personal data protection
Not use the Service to:
- Create, distribute or store illegal, hateful, violent or pornographic content
- Infringe the rights of third parties
- Circumvent technical or quota limitations
- Automate access to the Service abusively
Use AI functionalities responsibly and ethically

9. USE OF ARTIFICIAL INTELLIGENCE

9.1 Nature of generated content

Content generated by AI models may contain inaccuracies, biases or outdated information. The user:

Uses the Service at their own risk
Is responsible for verifying and validating generated content
Must not blindly rely on AI-provided responses, particularly for important decisions (medical, legal, financial, etc.)

9.2 Available AI models

The Service provides access to several AI models provided by different operators (OpenAI, Anthropic, Mistral, Google) via Dust.tt. Kimind does not guarantee:

The permanent availability of all models
The consistency of model performance
The addition or removal of models

9.3 Dust.tt guarantees

Dust.tt guarantees:

Zero data retention: no data retention by AI operators (OpenAI, Anthropic, Mistral, Google)
No training: your conversations are not used to train AI models
HIPAA certification: compliance with US healthcare data security standards

10. INTELLECTUAL PROPERTY

10.1 Kimind's rights

All elements of the Pivotalchat.ai Service (structure, software, texts, images, graphics, logo, interface, etc.) are the exclusive property of Kimind or are used under authorization. Any unauthorized reproduction, representation, modification or exploitation is prohibited.

10.2 Dust.tt's rights

The underlying technology provided by Dust.tt is the intellectual property of Dust.tt and its licensors.

10.3 User's rights

The user retains all intellectual property rights to:

The content (prompts, queries) they submit to the Service
The conversations they create

10.4 AI-generated content

Content generated by AI models via the Service may be subject to intellectual property restrictions according to the terms of AI model providers. The user is responsible for verifying applicable rights before any commercial exploitation of generated content.

10.5 Usage license

The user grants Kimind and Dust.tt a non-exclusive, limited license strictly necessary for the operation of the Service to:

Process and store conversations
Transmit queries to AI models
Display results to the user

This license does not in any way allow the use of content to train AI models or their commercial exploitation.

11. PERSONAL DATA

The processing of personal data is governed by the Privacy Policy accessible on the Site.

In accordance with GDPR and the French Data Protection Act, the user has rights of access, rectification, deletion, limitation, opposition and portability of their personal data, which they can exercise by contacting: rgpd@kimind.com

11.1 Data flow

Your data follows this path:

Entry of your query on Pivotalchat.ai
Transit through Kimind's servers
Transmission to Dust.tt for processing
Transmission by Dust.tt to AI operators (with guarantee of zero data retention and no training)
Return of response via the same path
Storage of history on Kimind's servers

12. COOKIES AND TRACKERS

The Service uses technical cookies necessary for the Platform's operation and statistical cookies to improve the user experience.

Kimind does NOT use any:

Advertising cookies
Behavioral tracking cookies for commercial purposes
Data resale mechanisms

13. AVAILABILITY AND MAINTENANCE

13.1 Availability

Kimind strives to ensure optimal availability of the Service, 24/7, but cannot guarantee permanent accessibility.

Service availability also depends on the availability of the Dust.tt platform and underlying AI models.

13.2 Maintenance

Maintenance operations may require temporary interruption of the Service. Kimind will endeavor to inform users in advance, except in emergencies.

13.3 Service modifications

Kimind reserves the right to modify, suspend or discontinue all or part of the Service at any time, without notice or compensation, particularly in case of:

Dust.tt unavailability
AI model modification or removal
Technological evolution

14. LIABILITY

14.1 Limitation of Kimind's liability

Kimind cannot be held responsible for:

Indirect damages, data loss, loss of profits or loss of earnings
The user's use of the Service or inability to use it
Malfunctions resulting from user fault, negligence or non-compliant use
Content generated by AI models (accuracy, relevance, legal compliance)
Decisions made by the user based on AI-generated content
Harm resulting from the use of generated content (errors, biases, outdated information)
Malfunctions, interruptions or limitations of the Dust.tt service or AI models
Suspension or termination of the user's Dust.tt account
Content created, published or shared by the user

14.2 User liability

The user is solely responsible for:

Their use of the Service and generated content
Verifying the accuracy and relevance of generated content
Compliance with applicable legislation when using generated content
Their Dust.tt account and compliance with Dust.tt's terms of use
The consequences of their interactions with AI models

14.3 Force majeure

Kimind cannot be held responsible for any delay or failure to perform its obligations resulting from force majeure, including:

Failures of Dust.tt or AI operators
Limitations imposed by AI model providers
Cyberattacks or security incidents affecting third parties

15. DURATION AND TERMINATION

15.1 Duration

These Terms are concluded for an indefinite period from the user's acceptance.

15.2 Termination by the user

The user may terminate their Pivotalchat.ai account at any time from their account settings. Termination takes effect immediately for the free offer, and at the end of the paid period for paid subscriptions.

Note: Termination of the Pivotalchat.ai account does not automatically terminate the Dust.tt account. The user must separately terminate their Dust.tt account if desired.

15.3 Termination by Kimind

Kimind may suspend or terminate access to the Service in case of:

Violation of these Terms
Violation of Dust.tt's terms of use
Fraudulent or abusive use of the Service
Non-payment of amounts due
Suspension or termination of the Dust.tt account

Termination is notified by email. In case of serious breach, termination may be immediate without notice.

15.4 Consequences of termination

Upon termination, the user loses access to the Service. The user has 30 days to export their data (conversation history) before their permanent deletion.

16. HISTORY AND CONVERSATION RETENTION

16.1 User retention

Conversations and history are retained as long as the user does not delete them. This retention is an integral part of the Service's features.

16.2 User deletion

The user can at any time:

Delete individual conversations
Delete their entire history
Export their conversations before deletion

16.3 Deletion after termination

After account termination, Kimind will retain the user's data for a period of 30 days to allow recovery. After this period, all data will be permanently deleted, except where legally required to be retained.

17. MODIFICATIONS TO THE TERMS

Kimind reserves the right to modify these Terms at any time. Modifications will be notified to users by email and/or via the Service at least 30 days before they take effect.

Continued use of the Service after the modifications take effect constitutes acceptance of the new Terms.

In case of substantial modification related to Dust.tt or AI models, Kimind will endeavor to inform users as soon as possible.

18. APPLICABLE LAW AND JURISDICTION

These Terms are governed by French law.

In the event of a dispute, the parties will endeavor to find an amicable solution. Failing this, any dispute relating to the interpretation or execution of these Terms will be subject to the exclusive jurisdiction of the courts of Paris, France.

20. GENERAL PROVISIONS

20.1 Entirety

These Terms, together with Dust.tt's terms of use, constitute the entire agreement between the user and Kimind regarding the use of the Service.

20.2 Partial invalidity

If one or more provisions of these Terms are declared null or unenforceable, the other provisions shall retain their full force and effect.

20.3 Non-waiver

The fact that Kimind does not enforce a user's breach of any obligation under these Terms shall not be interpreted as a waiver to subsequently enforce such breach.

20.4 Relationship with Dust.tt

In case of contradiction between these Terms and Dust.tt's terms of use, the most protective provisions for the user shall apply, within the limits of legal and regulatory obligations.

21. AI-SPECIFIC NOTICES

21.1 General warning

Responses provided by artificial intelligence models are automatically generated and may contain errors, inaccuracies or biases. They do not constitute in any way:

Professional advice (legal, medical, financial, etc.)
Certified or verified information
A guarantee of accuracy or completeness

21.2 Responsible use

The user undertakes to use AI responsibly and not to:

Generate illegal, defamatory content or content infringing the rights of third parties
Use the Service to manipulate, deceive or harm others
Circumvent the safeguards and limitations of AI models
Exploit the Service for spam, phishing or malicious activities

21.3 Model evolution

AI models and their capabilities evolve regularly. Kimind does not guarantee the maintenance of performance, capabilities or availability of specific models.
